Terms of Service

These Terms of Service (these "Terms") set out the conditions for using the smartphone application "Stackly" (the "App") provided by Luno Works ("we," "us," or "our"). By using the App, you are deemed to have agreed to these Terms.

1. Eligibility

1. The App is intended for users who are 13 years of age or older. Users under 13 may not use the App.
2. Users under 18 should use the App under the supervision of a parent or guardian.

2. Definitions

1. "User" means an individual who has created an account for the App.
2. "Group" means a management unit that a User creates and that other Users may join by invitation.
3. "Member" means a User who has joined a Group.
4. "Item" means a record of a possession that a Member has registered in a Group.
5. "Content" means names, photos, notes, and other information that a User registers in the App.
6. "Service" means all features provided by the App.

3. Accounts

1. Users must create an account using accurate and current information.
2. An account may be created with an email address and password, or by signing in with a Google or Apple account.
3. Users are responsible for managing their own credentials (email address and password) and may not transfer or lend them to third parties.
4. If you suspect unauthorized use of your account, please contact us immediately.

4. Groups

1. A User may create a Group and invite other Users using an invite code or invite link.
2. Invite codes are valid for 7 days from issuance. Multiple people may join using the same code within that period.
3. A single User may belong to multiple Groups.
4. The scope of viewing, adding, and editing Items within a Group may vary depending on the Group's settings and how it is operated.
5. Please be aware that information you register or share within a Group is visible to every other Member of that Group before you use this feature.

5. Prohibited Conduct

Users may not do any of the following.

1. Violate any law or public order and morals
2. Harass, defame, or post discriminatory content targeting other Users
3. Upload sexual, violent, or otherwise inappropriate content
4. Register Content that infringes another person's copyright, trademark, right of publicity, or other intellectual property rights
5. Misuse the duplicate-detection feature, such as by registering false barcode information
6. Gain unauthorized access to, tamper with, or reverse-engineer the App's systems
7. Use the App for unauthorized commercial purposes (advertising, solicitation, sales activity, etc.)
8. Impersonate us or any third party
9. Engage in any other conduct we deem inappropriate

6. Handling of Content

1. Copyright in Content you register remains with you.
2. You grant us a non-exclusive, royalty-free license to use your Content (to store, process, transmit, and display it) for the purpose of providing, improving, and ensuring the safety of the Service. We will not use this license for any purpose other than providing the Service.
3. You register Content shared with other Members of a Group at your own discretion and responsibility.

7. The Duplicate-Detection Feature

1. For items with a supported barcode (such as an ISBN or UPC/JAN code), the App automatically checks whether a matching item already exists within the Group.
2. For items without a supported barcode, or where the barcode cannot be read, the App can only offer a similarity match based on the item's name, and manual confirmation may be required.
3. Automatic lookup of product details relies on data from external providers, and we do not warrant the accuracy, completeness, or timeliness of that information. Please treat results from the duplicate-detection feature as reference information only.

8. Free Plan and Paid Plan

1. The free plan limits the total number of Items a User may register. The current limit is shown in the App.
2. Once the limit is reached, upgrading to the paid plan (Premium plan) removes the limit.
3. Pricing for the paid plan is as shown on the plan selection screen within the App.
4. This subscription will automatically renew unless canceled at least 24 hours before the end of the current period. The renewal fee will be charged to your account within 24 hours prior to the end of the current period.
5. Subscriptions may be canceled as follows:
   iOS: Settings → Apple ID → Subscriptions
   Android: Google Play → Profile icon → Subscriptions

9. Account Suspension and Deletion

1. If a User violates these Terms, we may suspend or delete that User's account without prior notice.
2. Grounds for suspension or deletion include: violation of the Prohibited Conduct provisions (Section 5), unauthorized use, violation of law, or other conduct we consider serious.
3. The App does not currently include a self-service account deletion feature. If you wish to delete your account, please email us at the address below.

10. Changes to and Termination of the Service

1. We may change the content of the Service without prior notice.
2. If we discontinue the Service, we will notify you at least 30 days before the discontinuation date, via the App or your registered email address.
3. We are not liable for any damages arising from changes to or discontinuation of the Service.

11. Disclaimers

1. The App is provided "as is," and we do not warrant its completeness, accuracy, or usefulness.
2. We are not liable for:
   • Damages arising from your use of the App, including loss of data or lost opportunities
   • Errors or omissions in the duplicate-detection feature or in information automatically retrieved from a barcode
   • Outages or data loss involving third-party services (such as Cloudflare)
   • Disputes between Group members
   • Malfunctions caused by network conditions or your device
3. Where we are found liable, our liability is limited to the amount you paid us in the most recent one-month period.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

13. Changes to These Terms

We may revise these Terms as necessary. Revised Terms take effect once posted on this page. We will notify you of material changes through the App or by email.
